This Promotion Policy outlines the terms and conditions governing the promotional Offers provided by the GemX application (“GemX”, “the Service”, “we”, “us”, or “our”) to the User (“User”, “you”, or “your”). By accessing or using the GemX application, you acknowledge that you have read, understood, and agree to be legally bound by the terms set forth herein. If you do not agree to these terms, you are not permitted to access or use the Service. We reserve the right to suspend, revoke, or terminate access to the promotional offers or the Service itself, without prior notice, in the event of any breach or misuse of this Policy.

1. General Terms

From time to time, GemX may make available Promotional Offers, including but not limited to discounts, special deals, coupon codes, and extended free trial periods (collectively, “Offers’), to support our Users and Partners. These Offers may be accessed through various means such as promotional links, discount codes, or dedicated marketing campaigns. Unless otherwise specified, the following general terms and conditions shall apply to all Offers:

  • Eligibility Conditions: To be eligible to receive or redeem any Promotional Offer issued by GemX, the User must satisfy all eligibility requirements expressly set forth in the terms of the applicable Offer. 
  • Scope of Discount: Unless otherwise specified, GemX promotional Offers apply only to fixed Subscription Fees of eligible Paid Plans, and the applicable discount rates will be clearly stated in each promotion. For the avoidance of doubt, Usage Fees / Usage Charges are excluded and will be charged in full during the promotional period.
  • Duration and Limitation: GemX promotional Offers apply only during the specific subscription period defined in the relevant Offer (e.g. the first 12 billing cycles). After the promotional term ends, standard pricing will automatically apply. Unless expressly authorized in writing, promotional Offers cannot be combined with any other simultaneous discounts, campaigns, or incentives issued by GemX.
  • Subscription Modification: If a Store changes its subscription plan whether by upgrade, downgrade, cancellation, or other modification during the promotional period, any resulting fee differences will be automatically adjusted by Shopify’s billing system through additional charges. No refunds will be issued for any previously discounted amounts.
  • No Cash Value: Offers are non-transferable and cannot be redeemed for cash, credit, reward points, tangible goods, or third-party services of any kind.
  • Unique Code and Value: Each Offer is issued with a unique promotional code and provides specific benefits. You are solely responsible for selecting Offers that best meet their operational needs and account circumstances.
  • Activation and Deadline: To redeem an Offer, you must select an applicable plan and complete payment confirmation via Shopify on or before the stated expiration date. Offers may not be saved or deferred for future use.
  • Fraud Prevention and Enforcement: Any fraudulent, abusive, or suspicious behavior related to the redemption of Promotional Offers may result in immediate suspension or termination of such Offer or the User's access to the Service, at the sole discretion of GemX.

GemX reserves the right, at its sole discretion, to modify, suspend, or terminate any Promotional Offer or its associated terms at any time without prior notice. In the event of any conflict or inconsistency between the provisions of this Promotion Policy and the applicable terms and conditions of Shopify, the applicable Shopify terms shall prevail.

2. Promotional Terms

All promotional offers made available by GemX shall be governed by the general terms set forth in this Promotion Policy, and shall additionally be subject to the specific terms and conditions applicable to each individual Offer, as formally issued by GemX. These conditions may include: 

  • Having purchased a GemPages plan or being classified as a new user; 
  • Subscribing to a Paid Plan offered by GemX, as Trial Plans are expressly excluded from promotional eligibility;
  • Redeeming the offer in conjunction with the Store’s first registration or initial upgrade to a Paid Plan under that Offer, unless otherwise extended or reauthorized by GemX.

Each promotional Offer will contain distinct eligibility requirements, discount structures, validity periods, and procedural conditions, all of which shall be expressly outlined in the applicable offer-specific terms. If any conflict arises between this Policy and the terms of a specific Promotional Offer, the terms of the Offer shall take precedence.

3. Limitation of Liability

GemX shall not be held liable for any loss, damage, or physical or psychological harm incurred in connection with the acceptance or use of any promotional Offers, including but not limited to issues arising from technical malfunctions or telecommunications failures. In the event of such occurrences, GemX reserves the right to amend, suspend, or cancel any affected Offers at its sole discretion. To the maximum extent permitted by applicable law, GemX shall not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to the use or inability to use any Offer or the Service.

4. Notice of Changes

Any modifications, extensions, or early termination of the Offer shall be communicated to Users via email and/or through the GemX website or in-app interface with a minimum notice period of thirty (30) calendar days prior to the effective date of such change.

 

In addition, GemX reserves the right to update or modify this Promotion Policy at any time without prior notice. Revised versions will be made available on the official GemX website and become effective as of the date of publication. Users are responsible for reviewing this policy periodically to stay informed of any changes.
